Platform Terms of Use
The rules for using the platform itself. Purchase of a receivable is governed by a separate signed agreement.
What these terms cover, and what they do not
These terms govern access to and use of the CONFIRMA platform, operated by JFK IMPORT-EXPORT LLC.
They do not govern the purchase of any receivable. That is governed by a separate signed agreement — a Master Receivables Purchase Agreement with a supplier, or a Master Programme Agreement with an operator. Where these terms and a signed agreement conflict, the signed agreement prevails.
Nothing on the platform is an offer to purchase any receivable. We may decline any invoice, for any reason permitted by the applicable agreement, without accepting liability for the refusal.
Accounts
An account is issued to a named individual acting for an identified company. Do not share credentials. Roles that move money or grant access require a second authentication factor, and access without it is not permitted.
Tell us immediately at legal@[DOMAIN] if you believe an account has been compromised. You are responsible for what is done through your account until you do.
We may suspend or withdraw an account where it is used contrary to these terms, where the underlying agreement ends, or where suspension is necessary to protect the platform or another counterparty.
Acceptable use
You must not submit an invoice you know to be inaccurate, submit an invoice already financed elsewhere, submit documents you are not entitled to submit, attempt to access another counterparty's records, probe or test the platform's security without our written authorisation, or use the platform to breach any sanctions or anti-money-laundering law.
Submitting a fraudulent invoice is not a breach of terms. It is fraud, and we treat it as such.
Information you give us
You warrant that what you submit is accurate and that you are entitled to submit it. Where you supply personal information about another person — a beneficial owner, a director, a colleague named on a delivery record — you confirm you may lawfully do so and that they have been told how it will be used.
The platform itself
We work to keep the platform available and correct, but we do not warrant that it will be uninterrupted or error free. Scheduled maintenance is notified where practicable.
The platform, its software, its scoring and its documentation belong to us. Nothing here transfers any right in them. You may use the platform for the purpose it was given to you and no other.
Electronic signature
Documents signed through the platform are signed electronically. A separate consent applies and is presented before signing.
Liability
Nothing excludes liability for fraud, for fraudulent misrepresentation, or for anything that cannot be excluded by law.
Subject to that, and in relation to the platform itself rather than any receivable purchase: we are not liable for loss of profit, loss of business or indirect loss, and our aggregate liability arising from platform use is limited to the fees you have paid us for platform access, which for operators is nothing.
Liability arising from the purchase of a receivable is dealt with in the signed agreement covering it, not here.
Governing law and disputes
These terms are governed by State of Delaware, United States. Disputes are resolved by arbitration seated in Wilmington, Delaware, United States under the International Centre for Dispute Resolution (ICDR), in English, before a single arbitrator. Either party may seek urgent interim relief from the Court of Chancery of the State of Delaware, or where it lacks jurisdiction, the state and federal courts sitting in Delaware or any other court of competent jurisdiction.
Changes
We may change these terms. Material changes are notified to counterparties with an account at least 30 days in advance. Continued use after that period is acceptance.
Effective 19 August 2026.
